Terms of Service — CenterPoint Quick Contact Extractor

- Acceptance of Terms By installing or using the CenterPoint Quick Contact Extractor Google Workspace Add-on (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Service. The Service is provided by C.M CenterPoint LTD, a company registered in Israel, located at 1 Noam Elimelech St., Bet Shemesh, Israel ("we," "us," or "Company").
- Description of the Service CenterPoint Quick Contact Extractor is a Google Workspace Add-on that integrates with Gmail. When you open an email, the Service:
- Extracts the sender's email signature from the message body;
- Sends the extracted signature text to Google's Vertex AI (Gemini) for structured contact field parsing;
- Reads and writes your Google Contacts (via the Google People API) to create or update contact records;
- Temporarily caches contact lookup results for up to 1 hour using Google Apps Script's CacheService (data stored on Google's infrastructure, not on our servers). We do not operate our own servers or databases for this Service. All data processing occurs within Google's infrastructure.
- Eligibility You must have a valid Google account to use the Service. By using the Service, you represent that you are at least 18 years old, or that you have the consent of a parent or legal guardian, and that you have the authority to accept these Terms on behalf of
yourself or your organization.
- Third-Party Services The Service relies on and operates within the following third-party platforms:
- Google Workspace / Gmail — The Service requires Gmail access to function.
- Google People API — Used to read and write contacts in your Google account.
- Google Vertex AI (Gemini) — Signature text is sent to Google's Vertex AI for contact extraction. This data is processed by Google under Google's own terms and privacy policies.
- Google Apps Script — The runtime environment for the Service. Your use of these platforms is governed by Google's Terms of Service and Google's Privacy Policy, which we do not control. We encourage you to review Google's policies at https://policies.google.com.
- Data and Privacy Our collection and use of your data is described in our Privacy Policy, available at https://centerpoint.co.il/privacy, which is incorporated into these Terms by reference. In summary:
- We do not store your Gmail content or contact data on our own servers.
- We do not sell, rent, or share your personal data with third parties for advertising purposes.
- We do not use tracking technologies or behavioral advertising.
- Email signature text is transmitted to Google's Vertex AI solely for the purpose of parsing contact fields and is not retained by us.
- Permitted Use You may use the Service solely for its intended purpose: extracting and saving contact information from email signatures into your Google Contacts. You agree not to:
- Use the Service to collect contact data belonging to third parties without their consent;
- Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service (beyond what is permitted by applicable law);
- Use the Service in any manner that violates applicable law, including Israeli law and the laws of the jurisdiction in which you operate;
- Use the Service to process sensitive personal data (e.g., health records, financial data) through the Vertex AI pipeline;
- Attempt to interfere with or disrupt the integrity or performance of the Service.
- Intellectual Property All intellectual property rights in the Service, including its source code, design, and content, are owned by C.M CenterPoint LTD or its licensors. Nothing in these Terms grants you any ownership right in the Service. You are granted a limited, non-exclusive,
non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.
- Pricing The Service is currently provided free of charge. We reserve the right to introduce paid features or subscription tiers in the future. If we do, we will provide reasonable advance notice and you will have the option to continue using any free tier (if
available) or discontinue use before any charges apply.
- Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure;
- Contact data extracted by Gemini AI will be accurate or complete;
- The Service will be compatible with all email formats or Google Workspace configurations. AI-generated contact parsing may produce inaccurate results. You are responsible for reviewing and confirming extracted data before saving it to your contacts.
- Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, C.M CENTERPOINT LTD AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS
INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ILS 100 (ONE HUNDRED NEW ISRAELI SHEKELS), WHICHEVER IS GREATER.
- Modifications to the Service and Terms We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We also reserve the right to update these Terms at any time. We will indicate the "Last Updated" date at the top of this page. Continued use of the Service
after changes are posted constitutes your acceptance of the revised Terms.
- Termination You may stop using the Service at any time by uninstalling the add-on from your Google Workspace account. We may suspend or terminate your access to the Service if you violate these Terms, without prior notice and without liability to you.
- Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of
the competent courts of Jerusalem District, Israel.
