1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of the CenterCall mobile application ("App") provided by Centerpoint Ltd. ("Centerpoint", "we", "us", or "our").

By downloading, installing, or using CenterCall, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

TIP

These Terms apply to the CenterCall Android application only. Use of the App requires a valid SIP account provided by your organization or a third-party SIP provider. Centerpoint does not provide SIP service.

2. Description of the App

CenterCall is a VoIP (Voice over IP) softphone application for Android that allows users to make and receive telephone calls over the internet using the Session Initiation Protocol (SIP). The App uses your device's internet connection and requires a SIP account configured by the user.

The App is designed for professional and enterprise use by employees, agents, or authorized users of organizations that operate SIP telephony infrastructure.

3. Eligibility and Account Requirements

To use CenterCall you must:

  • Be at least 18 years of age, or have the consent of a parent or legal guardian.
  • Have a valid SIP account provided by your employer, organization, or a third-party SIP service provider.
  • Have a compatible Android device (Android 8.0 / API level 26 or later).
  • Have a functioning internet connection (Wi-Fi or mobile data).

Centerpoint does not create or manage SIP accounts. You are solely responsible for obtaining valid SIP credentials from your provider and for all activity conducted through those credentials.

4. License Grant

Subject to your compliance with these Terms, Centerpoint grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on Android devices that you own or control.
  • Use the App solely for your personal or internal business communication purposes.

This license does not include the right to:

  • Copy, modify, distribute, sell, or sublicense the App.
  • Reverse engineer, decompile, or disassemble the App.
  • Remove or alter any proprietary notices or labels on the App.
  • Use the App in any way that violates applicable laws or regulations.

5. Acceptable Use

You agree to use CenterCall only for lawful purposes. You must not use the App to:

  • Make calls that are harassing, threatening, abusive, defamatory, or otherwise objectionable.
  • Conduct spam calls, robocalling, telemarketing without required consent, or any activity that violates applicable telecommunications laws.
  • Impersonate another person or organization.
  • Interfere with or disrupt the SIP network infrastructure of your provider or any third party.
  • Attempt to gain unauthorized access to any system, network, or account.
  • Violate any applicable local, national, or international law or regulation, including laws governing telecommunications, privacy, and data protection.

Centerpoint reserves the right to suspend or terminate access to the App (including by publishing updates that disable functionality) if we become aware of material violations of these terms.

6. Third-Party Services

CenterCall interacts with third-party services that are governed by their own terms and policies:

  • Your SIP Provider — All calls are routed through the SIP server you configure. You are bound by that provider's acceptable use policies and terms.
  • Google Firebase (FCM) — Used for push notifications. Subject to Firebase Terms of Service.
  • Google Play — The App is distributed through Google Play, subject to Google Play Terms of Service.

Centerpoint is not responsible for the availability, content, or practices of any third-party service.

7. Intellectual Property

CenterCall and all associated content, features, functionality, trademarks, and logos are owned by Centerpoint Ltd. and are protected by applicable intellectual property laws.

The App incorporates open-source software including PJSIP/PJPROJECT, which is licensed under its own open-source license. Use of the App does not transfer any ownership rights to you.

The "Centerpoint" name, logo, and "CenterCall" name are trademarks of Centerpoint Ltd. You may not use these marks without our prior written permission.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE SERVICE.

We do not warrant that:

  • The App will meet your specific requirements.
  • The App will be available at all times or free from errors or interruptions.
  • Call quality will meet any particular standard (call quality depends on your internet connection and SIP provider).
  • The App is suitable for emergency communications. Do not rely on CenterCall to make emergency calls (e.g., 911, 999, 112).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTERPOINT LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities.
  • Costs of substitute services.
  • Any damages arising from missed, dropped, or failed calls.
  • Unauthorized access to your SIP account or device.

IN NO EVENT SHALL CENTERPOINT'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Centerpoint Ltd. and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the App.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including any SIP provider.
  • Any calls made through your SIP account via the App.

11. Updates and Modifications

We may release updates to the App through Google Play. Some updates may be required for continued use. We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time with or without notice.

We may update these Terms at any time. The updated Terms will be posted at this URL with a revised effective date. Your continued use of the App after the effective date constitutes your acceptance of the revised Terms.

12. Termination

You may stop using the App at any time by uninstalling it from your device.

We may terminate or restrict your access to the App if you materially breach these Terms or if required by law. Provisions that by their nature survive termination (including Sections 7, 8, 9, and 10) shall survive.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

If you are a consumer in a jurisdiction that does not allow this choice of law, mandatory local consumer protection laws may apply in addition to these Terms.
